Terms of Service

These Terms of Service ("Terms") govern your access to and use of the cloud computing service operated by Jilebi, Inc ("Jilebi", "we", "us", or "our"), including the jilebi console, our website at jilebi.ai, and related products and services (collectively, the "Service"). Please read these Terms carefully.

1. Acceptance of Terms and Privacy Policy

By creating an account, signing up, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and Jilebi, Inc's Privacy Policy (available at /privacy). Signing up for the Service constitutes acceptance of both documents. If you do not agree to these Terms or the Privacy Policy, do not sign up for or use the Service.

2. Eligibility

You must be at least 13 years old (or the applicable minimum age in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Accounts and Credentials

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account, including all machines and routes you create.
• You agree to notify us promptly of any unauthorized use of your account.
• We may suspend or terminate accounts that violate these Terms or pose a security risk.

4. Acceptable Use

You agree not to use the Service to:

• Engage in or promote illegal activity, or conduct that violates applicable law.
• Distribute malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to the Service, other users' machines, or our infrastructure.
• Launch denial-of-service attacks or otherwise disrupt the Service.
• Upload or store content that infringes the intellectual property rights of others.
• Use the Service for purposes that violate our acceptable use obligations to our infrastructure providers.
• Resell or sublicense the Service without prior written consent.

5. Billing and Payments

• Your use of the Service is billed based on your actual usage, including compute, memory, disk, and network usage, as set out in the Service's pricing.
• Machines that are not actively running incur reduced charges for stored disk. Machines that are paused or shut down may still incur disk storage charges.
• Payments are processed by our payment processor, Dodo Payments. You agree to provide accurate payment information and to pay all charges associated with your account.
• If we are unable to collect payment, we may suspend access to your machines or terminate your account.
• Pricing and fees may change from time to time. We will provide notice of material changes in advance where required by law, and continued use of the Service after changes constitutes acceptance.

6. Machine Content and Data

You retain all rights to the content and data you store on your machines. You are solely responsible for such content and data, and for ensuring that your use of the Service and your storage of that data complies with applicable law. You grant us a limited right to access your data as necessary to provide, secure, and maintain the Service.

7. Free Trials and Fair Use

We may offer free trials or promotional credits from time to time. Free or trial usage is subject to reasonable limits and fair use. We may change or discontinue promotional offerings at any time.

8. Intellectual Property

• The Service, including its software, design, trademarks, and related materials, is owned by Jilebi, Inc and its licensors and is protected by intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
• You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service except as expressly permitted.

9. Termination

• You may stop using the Service and delete your machines or account at any time.
• We may suspend or terminate your access to the Service if you breach these Terms, violate applicable law, or if required by our infrastructure providers.
• Upon termination, you will no longer be able to access your machines or account. Because machines may be unrecoverable after deletion, you are responsible for backing up important data.
• Provisions that by their nature should survive termination will survive, including those relating to liability, disclaimers, and intellectual property.

10. Disclaimers of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA STORED ON MACHINES WILL NOT BE LOST OR CORRUPTED. YOU ARE RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR DATA.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JILEBI, INC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Jilebi, Inc and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Service, your content or data, or your violation of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
